These Bidder User Terms (these “Bidder Terms”) govern your access to and use of our Services as a Buyer (“Buyer”). The Services can be accessed through https://www.horaniauctions.com (“Horani Auctions”). These Bidder Terms are incorporated into the Terms of Use for Horani Foodservice Equipment and, together, are referred to as the “Terms.” All capitalized terms not defined herein shall have the meanings assigned to them in the Terms of Use.

Buyer Account

Your account must be registered with and approved by us, in our sole discretion, before you can use our Services as a Buyer. We reserve the right to approve, deny, suspend, or revoke access to any account at any time for any reason, including but not limited to concerns related to fraud, non-payment, or violation of these Terms.

Listed Item(s)

All Listed Item(s) available on our Site are owned, managed, and sold directly by Horani. We act as the sole seller and auction operator for all items listed through our Services. You understand and agree that all purchases are made directly from Horani and not from any third-party seller.

All Listed Item(s) are offered on an “as is” and “where is” basis unless otherwise explicitly stated. We may provide descriptions, specifications, images, and other information for convenience; however, we do not guarantee the accuracy, completeness, or reliability of such information. You acknowledge and agree that bidding on Listed Item(s) is conducted at your own risk.

Auction Information and Buyer Inspections

Auction dates, item descriptions, and pricing details are determined solely by Horani and may be updated or modified at any time. Listed Item(s) may be used, surplus, refurbished, or may contain defects.

We strongly recommend that Buyers inspect Listed Item(s) prior to bidding where inspection is available. You are responsible for verifying all information related to Listed Item(s), including condition, specifications, and suitability for your intended use. We are not responsible for any errors or omissions in item descriptions or auction details.

We reserve the right, in our sole discretion, to withdraw any Listed Item(s), amend listing details, or cancel any bid that we believe to be suspicious, fraudulent, or not in compliance with these Terms.

Additional Terms Posted by Horani Auctions

We may post additional terms and conditions specific to certain auctions or Listed Item(s), including payment deadlines, pickup schedules, storage fees, or removal requirements (“Additional Terms”). Such Additional Terms are incorporated into these Bidder Terms by reference. You are solely responsible for reviewing and complying with all applicable Additional Terms prior to placing a bid.

Additional Payments

In addition to the final bid price, Buyers may be required to pay additional fees, including but not limited to:

• Shipping, handling, or logistics fees
• Storage or late pickup fees

All applicable fees will be disclosed on the auction listing or during checkout and are subject to change.

Transportation, Risk of Loss, and Responsibility

You acknowledge and agree that you are solely responsible for the removal, transportation, and use of any Listed Item(s) you purchase. Risk of loss or damage transfers to you upon pickup or release of the item.

We are not responsible for:

• Loading, transportation, or delivery
• Damage during shipping
• Environmental conditions or hazards
• Installation or operation of equipment

You are responsible for complying with all applicable laws and regulations related to the transport, handling, installation, and use of foodservice equipment.

Bidding

You understand, acknowledge, and agree that:

When you submit a bid through our Services, your bid constitutes a binding and irrevocable offer to purchase the Listed Item(s). Once placed, bids cannot be withdrawn or canceled. If you are the highest bidder at the close of an auction, you are legally obligated to complete the transaction.

By placing a bid, you authorize us to use and process your information for the purpose of completing the transaction, including payment processing and order fulfillment.

You may place a maximum bid (“max bid”), and our system may automatically increase your bid in increments to maintain your position as the highest bidder until your max bid is reached.

Auctions may include time extensions (anti-sniping features). If a bid is placed shortly before an auction ends, the auction time may be extended to allow additional bidding.

We reserve the right to reject, cancel, or void any bid that we determine, in our sole discretion, to be invalid, fraudulent, or in violation of these Terms.

WE DO NOT GUARANTEE THAT ANY BID WILL BE RECEIVED, PROCESSED, OR RECORDED IN REAL TIME OR WITHOUT INTERRUPTION.

Prohibited Buyer Conduct

You agree not to engage in any conduct that may manipulate or interfere with the auction process, including but not limited to:

• Placing fake or fraudulent bids
• Using multiple accounts to influence pricing
• Attempting to disrupt or exploit the bidding system
• Engaging in any form of price manipulation

Any violation may result in immediate suspension or termination of your account and possible legal action.

Payments and Default

If you are the winning bidder, you must complete payment within the specified timeframe. Failure to do so may result in:

• Cancellation of the transaction
• Forfeiture of deposits (if applicable)
• Additional fees or penalties
• Suspension or permanent ban from the platform

We reserve the right to pursue legal remedies for unpaid amounts.

Additional Buyer Indemnity

In addition to the indemnification provisions set forth in the Terms of Use, you agree to indemnify, defend, and hold harmless Horani and its affiliates from any and all claims, damages, or liabilities arising from:

• Your participation in auctions
• Your handling, transport, or use of Listed Item(s)
• Any injury, loss, or damage caused by purchased equipment

Conflicts

In the event of any conflict between these Bidder Terms and the Terms of Use for Horani Foodservice Equipment, the Terms of Use shall prevail.
